GENERAL TERMS AND CONDITIONS (filed on 05-08-2021 stating Chamber of Commerce number 75837838)

 

ARTICLE 1 GENERAL

1 . 1 These general terms and conditions apply to the use of our website, every offer, quotation and agreement between Producer Worden (hereinafter: “PW”) and a Counterparty to which PW has declared these terms and conditions applicable, insofar as these terms and conditions are not expressly and has been deviated from in writing by the parties. These terms and conditions apply equally to PW agreements for the execution of which PW must involve third parties.

1 . 2 Access to our website may be terminated by us at any time without prior notice. Nevertheless, our disclaimer will survive such termination. 

1 . 3 If one or more articles in these general terms and conditions are wholly or partially invalid or should be destroyed, it will otherwise remain fully applicable in these general terms and conditions.

 

ARTICLE 2 DISCLAIMER

2 . 1 We assume no responsibility for any loss or damage, however caused (including through negligence), which you suffer directly or indirectly in connection with your use of this website or the PW portal, nor do we accept any responsibility for such loss as as a result of your use of this website or the PW portal or reliance on information observed on this website or the PW portal.

 

ARTICLE 3 COPYRIGHT AND USE

3 . 1 Copyright in this website, including images, animation, audio files, teaching materials, and videos, rests with PW or our licensors. The content of this website and/or our portal (hereinafter: ''the PW portal'') may only be retrieved for display on a computer screen and for non-commercial use. You may not use the foregoing for any other purpose without written permission: (a) to modify, reproduce, store, distribute, print, display, perform, publish or create works derived from it; or (b) commercialize any information, products or services obtained through this website.

3 . 2 We reserve all rights not expressly granted in and to the website and its contents.

3 . 3 The user is responsible for their own use of the website and agrees not to:  (a) use discriminatory, indecent or offensive language; (b) post any information on the website or the Platform that is false, misleading, abusive, harassing or discriminatory;  (c) post any information on the website or the Platform that is encrypted, constitutes junk mail or advertising, violates the privacy of any person, encourages conduct that would constitute or lead to a criminal offense or otherwise constitutes local, national or violates international law or regulation; (d) use the site for any unlawful purpose and you acknowledge that such unlawful use may result in criminal liability.

 

ARTICLE 4 LIABILITY

4 . 1 If PW should be liable, this liability is limited to what has been established in this provision. 

4 . 2 We accept no liability for damage, in any way suffered, caused by PW's assumption of incomplete and/or incorrect information provided by or on behalf of the Other Party.

4 . 3 We accept no liability for indirect damage, including loss of profit, consequential damage and damage due to business or other stagnation. This limitation does not extend beyond that permitted under Article 7:24 paragraph 2 of the Dutch Civil Code in the case of consumer purchases.

4 . 4 While we have no reason to believe that the information provided on this website and/or the PW Portal is inaccurate, we cannot guarantee the accuracy, completeness or adequacy of such information. We hereby accept no liability for any loss that you suffer as a result of your reliance on the topicality or accuracy of the information on this website or our PW portal. PW is only liable for direct damage suffered. 

4 . 5 PW is only liable for direct damage. The limitations of liability included in this article do not apply if the damage is due to gross negligence or intent on the part of his managerial subordinates or PW.  

 

ARTICLE 5 REGISTRATION AND TERM OF AGREEMENT

5 . 1 Registrations at PW can only take place and be implemented by means of a fully completed registration form as stated on the registration page www.producerworden.nl/aanmelden. In the case of minors, their legal representative will complete the registration. 

5 . 2 The duration of the agreement will be entered into for a period of twelve (12) months with the relevant teachers who provide the lessons. In addition, the obligations and rights in the registration form when registering are only in name and not transferable.  

ARTICLE 6 PAYMENTS

6 . 1 The tuition for a PW training can be paid by means of a one-off payment per year, a payment per month or a payment per quarter. In the event that payment in installments is chosen, the tuition fee will be divided equally over the number of installments. Payment terms that fall during the holidays must also be paid, unless otherwise agreed in writing. These holidays are understood to be the two (2) weeks of Christmas holidays; spring break and May break. Lessons are given during all other school holidays, a period of six (6) weeks during the summer holidays not included.

6 . 2 Payments must always be paid in advance to PW via the following options:

a . Internet banking: the monthly payments must be transferred in the first week of each month.

6 . 3 The tuition fees are re-established every year and published on www.producerword.nl.

6 . 4 In the event of non-compliance or late fulfillment of the payment obligation, PW reserves the right at all times to deny access to lessons and further authorizations to the PW portal.  

 

SECTION 7 LIMITED USE

7 . 1 Unless we agree otherwise in writing, you are permitted to access this website for your personal use only. Without limiting the foregoing, you may not otherwise commercialize or resell the information obtained through our website or the PW portal without our written consent.  

 

ARTICLE 8 EXTERNAL LINKS

8 . 1 This website may contain external links to the websites of third parties. These external links are provided by us for your convenience only.

8 . 2 We take no responsibility for the topicality or correctness of information obtained through these external links, nor do we accept any responsibility for the content or privacy statements associated with these external links.  

 

ARTICLE 9 PRIVACY RIGHTS

9 . 1 The information and personal data provided to us will only be used by us in accordance with our privacy statement. The privacy statement does not apply to third-party sites. 

9 . 2 In accordance with our privacy statement, we will only use or disclose the personal information provided to us if: (a) you have authorized us to do so; (b) no objection has been made to that use or disclosure after we have given you notice; (c) we believe that the use or disclosure is reasonably necessary and we are authorized, required or permitted by law to disclose the information.

 

ARTICLE 10 INTELLECTUAL PROPERTY

10 . 1 PW is entitled to exercise all intellectual property rights and reserves the rights and powers to which it is entitled under the 1912 Copyright Act. 

10 . 2 PW reserves at all times the powers and rights that PW is entitled to pursuant to the 1912 Copyright Act and other laws and regulations relating to intellectual property. 

10 . 3 PW also reserves the right to use the knowledge gained through the execution of the agreement for other purposes, insofar as the confidential information is safeguarded for the knowledge of third parties.  

 

ARTICLE 11 CONFIDENTIALITY

11 . 1 All information available within the organization by all employees, teachers or other individuals who are hired at PW and who work for PW will be treated confidentially. 

11 . 2 Everyone who works within the organization of PW has recorded the aforementioned in a signed confidentiality obligation.  

 

ARTICLE 12 CHANGES TO CONDITIONS

12 . 1 These conditions are available for inspection on the website www.producerworden.nl. The last filed version as it applied at the time of the establishment of the legal relationship with PW.

12 . 2 The Dutch language of these general terms and conditions is decisive for the interpretation thereof in continuity.  

 

ARTICLE 13 APPLICABLE LAW AND DISPUTES

13 . 1 These general terms and conditions are written in the Dutch language, whereby Dutch law applies and disputes are exclusively submitted to the Dutch court in the Netherlands. 

CANCELLATION CONDITIONS

If a student registers via the registration form on www.producerworden.nl/aanmelden and whose dates have been established in the Producer Worden system, the costs must be paid on time. After completion of the registration, the student will receive notification of the official registration, stating the invoice and payment options.  

 

After confirmation from the institution (actually registered), 14 days to change your mind. If the registration via the registration form is made at the last minute, the amount owed will be paid immediately, at the latest before the start of the first official lesson at Producer Word. The amount must be credited to our account. However, if the payment is not credited on time, the student will unfortunately not have access to the lessons, but the payment obligation will remain in effect.  

 

Reimbursement of fees depends on the date and time of receipt of the written cancellation request. The following costs will be charged in case of cancellation:

  • The student reserves the right to submit a written request within 14 days (after confirmation from the institution) regarding the cancellation of registration, free of charge. Payments that have already taken place within 14 days will also be refunded to the relevant account.

  • If participation is prevented after registration of the student and after payment, it is possible to postpone the start date of participation in consultation with Producer Worden, provided that a written request is submitted to verlindencreatives@outlook.com as soon as possible before the start of the initial start date.  

 

 

EARLY TERMINATION OF AGREEMENT

Premature termination of the agreement with regard to the lessons during the term of the training is only possible with due observance of two (2) months' notice. Premature termination of the agreement must be submitted before the first week of the month by written request.

 

REFUND OF COURSES

Tuition refunds can only be made by written request regarding the following circumstances:

  • Upon the death of a registered student;

  • In the event of termination of the agreement whereby a refund of the prepaid amount, less the amount of the notice period and cancellation costs.

  • In consultation with PW, other lessons plus administrative costs can be returned.
